Terms & Conditions of Trade - August 2003 (updated August 2010)
Interpretation
"SV.P" means spikevideo.productions.
"Client" refers to the person or firm or company for whom a contract for
services was entered into with SV.P, be that contract
written, or circumstantial in definition.
"The Parties" refers to SV.P and the Client
Rates
These apply unless another arrangement has been agreed in advance.

A booking minimum, equivalent to three hours work, may be charged at the discretion of SV.P.
Normal non-quoted work, plus GST

Payment Terms
GST is additional to all figures.
Casual work minimum three hours chargeable.
If requested, a 5% discount on gross if payment received prior to 20th of month
following invoice.
To quality for the discount all previous invoices must be up to date.
If the prompt payment discount is not used then payment of the invoice
amount is due
strictly 20th of month following invoice.
Any accounts still not paid 30 days past 20th of month will be charged
interest
at the prevailing ANZ Bank unsecured overdraft rate.
SV.P reserves the right to discontinue work at
any time should accounts remain outstanding.
SV.P may require clients to complete a
satisfactory credit application form before extending credit.
SV.P reserves the right to change the credit
terms it offers to specific clients.
Should debt collection action be required then the costs of this
will also
be charged to the overdue account.
Indemnity
- The client will indemnify SV.P in respect of any
copyright, royalties, performance fees or other proprietary right or claim of
any kind by a third party relating to undertakings made by SV.P for the use of the client, or to any media supplied to SV.P by the client.
Liability
The liability of SV.P whether in contract or in
tort for any loss or damage or injury arising directly or indirectly from any
defect non-compliance of or defect of services rendered or any
misrepresentation by SV.P relating thereto, is
limited to the replacement or repair of such defective, non-complying or
misrepresented services for damages not exceeding the invoice value of the
same, of the same option of SV.P.
SV.P shall not be liable for any consequential
indirect or special damage or loss of any kind whatsoever.
Claims on any grounds must be made by the client in writing within 30 days
after completion of the project (or issuing of invoice - whichever is more
applicable), otherwise they shall be deemed to have been
waived.
Copyright
All material created by SV.P remains Copyright to SV.P unless negotiated otherwise prior to any event.
SV.P is not obliged to supply copies of any created material - this may be negotiated otherwise but may attract additional costs.
Period of effect of these conditions of trading
These terms and conditions replace the terms and conditions of previous
rate cards that SV.P may have
issued.
